Understanding Peini Cacao - How is it structured?

Peini Cacao Plantation, LLC is a Private Placement offering in specialty agriculture, specializing in cacao, where qualified investors acquire a stake in a chocolate producing enterprise and retain ownership throughout their lifetime. It is an offering of three million dollars (now 70% funded) with a projected average annual return of 15%. The minimum investment is $30,000.

The operation is vertically integrated, from the farming of the cacao, to the sale of the chocolate. The Sponsors farm the cacao, process the cacao beans, produce the chocolate and market and sell the finished products through various channels of distribution as well as their own retail store.

As a 506c Private Placement, this is an investment directed at accredited investors, as defined by the SEC. Investors must meet the following requirements to qualify and this must be verified by a 3rd party.

An accredited investor is an individual with a net worth or joint net worth with a spouse or spousal equivalent of at least $1 million, not including the value of his or her primary residence. Or an individual with income exceeding $200,000 in each of the two most recent calendar years or joint income with a spouse or spousal equivalent exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year.
